Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Spice Finance Inc, a Delaware corporation doing business as Pareto Inference ("Pareto Inference," "we," "us," or "our"). They govern your access to and use of paretoinference.com, the dashboard and documentation, our application programming interface (the "API"), Pareto Pass, prepaid inference credits, referral programs, and related services (collectively, the "Service").

By creating an account, purchasing a subscription or credits, using an API key, or otherwise accessing the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind it, and "you" includes that organization. If you do not agree, do not use the Service.

You must be legally able to enter into this agreement. If you are under the age of legal majority where you live, you may use the Service only with permission from and under the supervision of a parent or legal guardian. That parent or guardian must review and agree to these Terms and is responsible for your use. You may not use the Service if you are under 13, if applicable law requires a higher minimum age, or if law otherwise bars you from using it, including under export-control or sanctions laws.

You must provide accurate information and keep it current. You are responsible for activity under your account and API keys, including charges and use by anyone you authorize or enable.

Keep credentials and API keys confidential. Do not publish, transfer, sell, sublicense, or share an API key outside your organization or authorized service providers. Notify us promptly if you suspect unauthorized access. Key rotation invalidates the previous key; you are responsible for updating clients that use it.

We may set or change account, key, model, rate, concurrency, token, budget, or other technical limits to protect the Service, comply with legal or contractual requirements, or manage capacity.

Pareto Inference provides hosted access to artificial-intelligence models developed by third parties and related performance information. Available models, endpoints, performance, capacity, and features may change.

Unless we agree otherwise in writing:

• The Service has no service-level agreement or guaranteed availability, latency, throughput, model, capacity, or output quality.
• Public performance metrics are service-level observations, not a promise about your requests or a billing statement.
• Capacity limits, outages, or model changes may affect use.
• Preview, beta, experimental, subsidized, or early-access features may be changed or discontinued at any time.

You may submit prompts, messages, files, or other material ("Input") and receive model-generated material ("Output"). Input and Output together are "Content."

As between you and us, you retain your rights in Input. Subject to applicable law and third-party rights, we assign to you any rights we may have in Output. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and otherwise use Content as reasonably necessary to provide, secure, monitor, troubleshoot, improve, and enforce the Service.

You represent that you have all rights and permissions needed to submit Input and permit this processing. Do not submit regulated, confidential, or sensitive information unless you have determined that the Service meets your requirements or we have agreed to additional terms in writing.

AI systems can produce inaccurate, incomplete, offensive, biased, or otherwise unsuitable Output. Output may not be unique. You are responsible for evaluating Output and for decisions or actions based on it. Do not rely on Output as a substitute for professional advice or as the sole basis for decisions that materially affect a person's rights, safety, health, employment, credit, housing, education, insurance, or access to essential services.

You may not use the Service to:

• Violate law, court order, sanctions, export controls, or the rights of others.
• Generate, distribute, or facilitate malware, credential theft, unauthorized surveillance, fraud, deception, spam, phishing, or other harmful activity.
• Access systems or data without authorization, evade security controls, or test vulnerabilities without our prior written permission.
• Exploit or harm children or create or distribute unlawful sexual content.
• Infringe intellectual-property, privacy, publicity, confidentiality, or other rights.
• Circumvent budgets, credit balances, purchase or rate limits, access periods, referral rules, or other controls, including by creating duplicate accounts.
• Resell, sublicense, pool, or share Pareto Pass or API keys unless we authorize it in writing.
• Interfere with the Service or impose an unreasonable load on it.
• Misrepresent Output as human-generated where law requires disclosure.
• Use the Service for fully autonomous weapons, unlawful high-risk decisions, or a use where failure could reasonably cause death, serious injury, or major property or environmental damage.

You must also follow applicable model license, marketplace, and integration policies. We may investigate suspected violations and suspend or terminate access.

Pareto Pass is a recurring subscription. Lite costs US$3 per week; Pro costs US$10 per week, charged weekly until canceled. There is no free trial or monthly bundle in this offer. The price and plan shown at checkout control if they differ from this summary.

By starting Pareto Pass, you authorize us and Stripe to charge your selected payment method on a recurring basis, including applicable taxes, until you cancel. Stripe processes card information and provides the billing portal.

Lite includes up to US$10 and Pro up to US$15 in inference credits per user per day, measured at the applicable model credit rates. This is a usage limit, not cash or stored value; does not guarantee any amount of usage, model, or capacity; may be subject to capacity and technical limits; and uses the Service's configured budget period, which may not reset at local midnight.

Your subscription renews automatically each week unless canceled. You can cancel through the Stripe billing portal linked in the dashboard. Cancellation stops future renewal charges and ordinarily leaves access active until the end of the paid period. A failed renewal may cause access to expire or be suspended.

Existing free users keep their access. Existing paid subscribers keep US$3 per week and US$20 in daily inference credits while their subscription continues. Once that subscription ends, returning users must select a current offer. Previously earned referral credits retain their value and stacking rules. Already-pending referrals finish under their original rules.

You may buy prepaid inference credits in US dollars through Stripe. Each purchase must be from US$1 to US$200. Credit purchases, including auto-refills, are limited to US$1,000 per account per UTC day unless we set a different limit for your account. The amount shown at checkout controls.

Credits pay for API usage at the model rates published in our documentation when the request is made. They are a prepaid balance for the Service, not cash, stored value, or a deposit account. They earn no interest and are not transferable or redeemable for cash, except where law requires. Purchased credits do not expire.

A positive credit balance lets you use the API without a Pareto Pass subscription. If you also have Pareto Pass, eligible usage draws first from your Pass daily allowance, then from promotional credit such as referral rewards, then from purchased credit, oldest purchase first.

Before running a request, we may reserve its estimated cost from your balance and refuse the request if your balance cannot cover it. The final charge is based on actual usage and can be higher or lower than the estimate. If it exceeds your available balance, the difference becomes a negative balance that is deducted from credit you add later, and requests may be refused until your balance is positive again. Balances may take a short time to update after a purchase or request.

Auto-refill is optional and becomes available after your first completed credit purchase. Stripe saves your card with each credit purchase, but a saved card alone does not start automatic charges.

When you enable auto-refill, you choose a balance threshold and a refill amount of US$1 to US$200. You authorize us and Stripe to charge your saved payment method the refill amount, plus any applicable taxes, each time your available balance is at or below your threshold, without further action from you, until you turn auto-refill off. If your balance is already at or below the threshold when you enable it, a charge may occur right away.

Refills count toward the daily purchase limit and may be reduced to the remaining limit or skipped. If a refill payment fails or requires your action, we pause auto-refill until you resume it. You can turn auto-refill off in the dashboard at any time; a payment that has already started may still complete.

Except where law or checkout terms require otherwise, all payments, including Pareto Pass charges and credit purchases, are final and non-refundable, and credits and allowances are not redeemable for cash. We may provide a refund or service credit in our sole discretion, but doing so once does not require us to do so again.

If a credit purchase is refunded or reversed through a payment dispute, we remove credit in proportion to the refunded or reversed amount. While a refund or dispute is pending, we may hold the affected credit. If that credit was already spent, the shortfall becomes a negative balance that is deducted from credit you add later.

We may change prices, model credit rates, allowances, purchase limits, or other limits for future billing periods and future purchases or requests. Before an increase in a price or model credit rate takes effect, we will give at least 2 days' notice, or longer if law requires, by email or by posting the new rate and when it takes effect in our documentation. For other changes, we will provide notice required by law. You may cancel before a change applies. Prices exclude taxes unless stated otherwise, and you are responsible for applicable taxes.

New referrals are paused.

During a pause, no new referrals are accepted in either program, including invitations from existing referrers. Accepted referrals keep their original terms and can complete the required steps after the pause starts. Existing credit remains available. Reward periods are not extended or restarted. A referral link or cookie alone does not reserve an offer.

Referral offers are promotional and may be changed, paused, or ended prospectively. One referral link applies to two programs: Pareto Pass referrals, which earn Pass benefits, and API referral rewards, which earn inference credits. An accepted referral keeps the terms in effect when it was accepted.

• Attribution is generally set when a user visits a referral link and signs in or signs up within the referral-cookie period. Self-referrals, duplicates, retrospective changes, and existing or previously paid customers are not eligible.
• A countdown or pending amount is only an estimate.

We may withhold, invalidate, or reverse benefits in either program where we reasonably believe there is error, fraud, manipulation, a duplicate account, a prohibited transfer, or a violation of these Terms.

• An eligible new user who subscribes to Pro through a valid referral may pay US$5 for the first week, then US$10 per week.
• The direct referrer earns one free week of their current paid subscription after the referred user's first full US$10 cash renewal. Each subscription billing week can earn at most one free week. The week is determined when the friend starts their paid Pass. Extra referrals in that week do not carry over. Free accounts receive no additional subscription benefit.
• Cancellation or failed renewal before qualification may invalidate the reward. An eligible successful retry may restore a reward invalidated solely by payment failure.
• Refunds, disputes, fraud, abuse, or ineligibility may reverse a reward. If reversed credit was used, future earned credit may first cover the adjustment; we will not add a separate card charge solely to recover it.
• Earned Pass credit applies automatically to future Pareto Pass bills, does not expire under the current program, is not transferable or redeemable for cash, and is not an API credit balance.

Friends who first join Lite do not receive a referral discount or generate a reward by upgrading later. Lite subscribers can earn one free Lite week by referring a new Pro subscriber. Stripe's checkout price is final for that transaction.

• A referred user receives a US$3 welcome credit after verifying their email and making a first credit purchase of at least US$1. Their account must be created while the offer is open. Users who previously subscribed to Pareto Pass or bought credits are not eligible.
• The referrer receives a US$3 activation credit after the referred user's first successful API request made after that purchase, once its final cost is confirmed and greater than zero.
• The referrer also earns 5% of the referred user's purchased-credit usage for 30 days, starting with that first successful request. Usage paid by a Pass allowance or promotional credit does not count, and refunded usage is excluded. These rewards are added once per UTC day after costs are final and may be rounded down.
• Rewards are pending until added, and pending rewards cannot be spent. If the qualifying purchase is refunded or lost in a payment dispute before a reward is added, the welcome and activation credits for that referral are canceled. We may hold pending rewards while a refund or dispute is unresolved. Rewards already added are not removed because of a later refund.
• API referral credit pays for API usage only, is used before purchased credit, and can be used without a separate purchase. It cannot pay for Pareto Pass, does not expire under the current program, and is not transferable or redeemable for cash.

The Service relies on identity providers, Stripe, and hosting and infrastructure providers. Their products are governed by their own terms and policies. We are not responsible for third-party services, content, or availability.

If you access the Service through a marketplace or integration, additional terms may apply. For that transaction, marketplace terms control only to the extent of a conflict.

The Service, including its software, interfaces, documentation, branding, and design, is owned by Spice Finance and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal lawful purposes.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service, or use our names, logos, or marks without written permission. This does not restrict rights that law does not allow us to restrict.

If you send feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use it without restriction or compensation.

Our Privacy Policy explains how we collect, use, and disclose personal information. If you process information on behalf of someone else, you are responsible for required notices and permissions.

Contact us before submitting regulated data that requires a data processing, security, business associate, or similar agreement. Unless we sign a separate agreement, the Service is not offered as compliant with HIPAA, GLBA, FERPA, PCI DSS for card-data storage, or another sector-specific regime.

You may stop using the Service at any time and may cancel a paid subscription as described above.

We may suspend or terminate access, limit functionality, revoke keys, or remove Content if we reasonably believe you violated these Terms or law; your use creates security, legal, financial, reputational, or operational risk; payment is overdue, reversed, disputed, or fraudulent; a provider or authority requests suspension; or continued service is no longer commercially or technically feasible.

Where reasonable, we will provide notice and an opportunity to cure. We may act immediately to prevent harm, address an emergency, or comply with law. Provisions that by their nature should survive termination will survive.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." SPICE FINANCE AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

WE DO NOT WARRANT THAT OUTPUT IS ACCURATE, COMPLETE, UNIQUE, SAFE, SUITABLE FOR YOUR PURPOSE, OR NON-INFRINGING. YOU USE THE SERVICE AND OUTPUT AT YOUR OWN RISK. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPICE FINANCE AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS; BUSINESS INTERRUPTION; OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100. These limits apply regardless of legal theory and do not apply to liability that cannot be limited by law.

If you use the Service for a business or organization, you will defend, indemnify, and hold harmless Spice Finance and its affiliates, personnel, suppliers, and licensors from third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from your Content, use of the Service, violation of these Terms, or violation of another person's rights. This does not apply to the extent a claim results from our breach, gross negligence, or willful misconduct.

We may modify the Service and these Terms. If we materially change the Terms, we will provide notice as required by law and state when the changes take effect. Changes apply prospectively. If you do not agree, stop using the Service and cancel any subscription before the revised Terms take effect.

These Terms are governed by Delaware law, without regard to conflict-of-laws rules. Any dispute arising from or relating to these Terms or the Service will be brought exclusively in the state courts located in New Castle County, Delaware, or the United States District Court for the District of Delaware. Each party consents to their jurisdiction and venue.

Before filing a claim, you and Spice Finance agree to try in good faith for 30 days to resolve it informally. Send written notice describing the dispute and requested relief to the contact below. Nothing in this section limits rights or remedies that cannot be waived under consumer law. These Terms do not require arbitration and do not contain a class-action waiver.

These Terms and additional terms expressly incorporated by reference are the entire agreement about the Service and supersede prior agreements on that subject. If a provision is unenforceable, it will be modified only as much as needed, and the rest will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, merger, acquisition, financing, or sale of assets. There are no third-party beneficiaries except as expressly stated.
